If you are looking for an outside investor for your company, you must first know how to properly structure your company, and understand these terms: Cap-Table, Common vs. Preferred Stocks, Convertible Notes, Preferred to Common Conversion Multiple, Valuation, Valuation Risks, and Term-sheets. If you have done your homework, and have scoped out answers to all the possible Venture Capitalist questions, you are on your way to getting a superior valuation (who doesn't want that). However, if you are unaware of the aforementioned terms, and stumble out of the gate, well, the VC might just think you are not ready or slap you with a lower valuation. Why take chances?
